WHAT IS A CORPORATION?
A corporation is an independent legal entity, separate from the people who own (shareholders), control and manage it. For both legal and tax purposes, a corporation acts as a legal “person” that can enter into contracts, incur debts, and pay taxes apart from its owners. There are several types of corporations to consider. Corporations may be S or C for tax purposes, as well as professional, closely-held, and non-profit. The type of corporation you need to choose is determined by the type of business you are in, the risk and liability factors common for your industry, whether your business is for or not-for-profit, and various other factors.
